THIS SHARE EXCHANGE AGREEMENT (this “Agreement”), dated as of January 28, 2011, is by and among Trade Link Wholesalers, Inc., a Nevada corporation (“Trade Link”), Value Development Holdings Limited, a British Virgin Islands company (“Value Development”), and the shareholders of Value Development identified on Exhibit A hereto (together referred to herein as the “Value Development Shareholders,” each a “Value Development Shareholder”).
