Unless otherwise provided in this Agreement, capitalized terms used herein shall have the meanings set forth in Section 9 hereof. WHEREAS, the Company desires to issue to Executive one hundred thousand (100,000) of the Company’s Common Units in consideration of certain services rendered by Executive to one or more of the Company’s subsidiaries, upon the terms and subject to the conditions set forth herein and in the LLC Agreement. NOW, THEREFORE, in consideration of the mutual covenants contained herein and other good and valuable consideration, the receipt and sufficiency of which are hereby acknowledged, the parties hereto agree as follows: Section 1
