This Settlement Agreement, including Releases of Claims, Covenant Not To Sue, and Stipulation of Dismissal of the Litigation (as defined below) (the “Agreement”), is made and entered into as of December 20, 2012, between and among Alzheimer’s Institute of America, Inc. (“AIA”), and Myrexis, Inc. (“Myrexis”), Myriad Genetics, Inc. (“Myriad Genetics”), Myriad Therapeutics, Inc.
