This Opt-In Agreement sets forth the terms of local interconnection and the exchange of local traffic in the State of Nebraska (the "Agreement") and is effective upon execution (“Effective Date”), subject to the Nebraska Public Service Commission’s approval. The Agreement is by and between Citizens Telecommunications Company of Nebraska, (“Frontier”), a Delaware corporation, with offices at 180 S. Clinton Avenue, Rochester, NY 14646 and Cable USA III, LLC (“Cable USA”), a Nebraska limited liability company, with offices at 416 Valley View Drive, PO Box 2299, Scottsbluff, Nebraska 69363-2299. Frontier and Cable USA being referred to collectively as the ("Parties").
