This Settlement Agreement (“Agreement”) is made and entered into this 30th day of July, 2016 (“Execution Date”) by and between Sumitomo Riko Co. Ltd.1 and DTR Industries, Inc. (together, “SUMITOMO RIKO”) and End-Payor Plaintiff Class Representatives (“End-Payor Plaintiffs”), both individually and on behalf of classes of end- payor indirect purchasers of ANTI-VIBRATION RUBBER PARTS and AUTOMOTIVE HOSES (“Settlement Classes”), as more particularly defined in Paragraph 13 below.
