Reference is hereby made to that certain letter agreement dated as of March 5, 2014 between Participant Channel, Inc. (“Company”) and Embassy Row, LLC (“Producer”) (such letter agreement, the “Agreement”) in connection with the television series presently entitled “TakePart Live” (the “Series”).
