ASSUMPTION AGREEMENT, dated as of August 5, 2004, made by REFCO GROUP LTD., LLC, a Delaware limited liability company ("Refco"), in favor of BANK OF AMERICA, N.A., as administrative agent (in such capacity, the "Administrative Agent") for the Lenders (as defined below) party to the Credit Agreement referred to below.
