Entire Agreement. The following Purchase Order Terms and Conditions are applicable to all Vanderbilt University Medical Center (“VUMC”) Purchase Orders, and to any agreements between VUMC and SUPPLIER that incorporate the Purchase Order Terms and Conditions by reference. Except as provided in Section 2 herein, the Purchase Order Terms and Conditions and any applicable Purchase Order, including any specifications or instructions attached thereto (“Specifications”), may be amended or modified only by an instrument of equal formality signed by duly authorized representatives of the respective parties. Any additional or inconsistent provision proposed by SUPPLIER, including in any SUPPLIER purchase order, shall be deemed of no force and effect unless the Purchase Order Terms and Conditions or Purchase Order was amended as provided herein. Any Purchase Order is binding upon VUMC only if signed by its duly authorized representative.
