In connection with the analysis of a possible business combination transaction between Restoration Hardware, Inc. (the “Company”) and Sears Holdings Corporation (the “Interested Party”) (the “Transaction”), the Company may deliver to the Interested Party or its Representatives (as defined below) certain Information (as defined below) concerning the Company and the Transaction.
