This Transition Agreement dated as of June , 2008 is by and between The Education Resources Institute, Inc., a private non-profit corporation organized under Chapter 180 of the Massachusetts General Laws with its principal place of business at 31 St. James Avenue, 4th floor, Boston, Massachusetts 02116 (“TERI”), and RBS Citizens, N.A., a national banking association with its principal place of business at One Citizens Plaza, Providence, Rhode Island 02903, for itself and as successor in interest to Charter One Bank, N.A. and Citizens Bank of Rhode Island (collectively, “Lender”).
