AGREEMENT entered into as of the 19th day of May, 2003, between Patricia Henry and Allie Bartrosouf, (hereinafter referred to as the “Client”), located at 2900 31st Street, Santa Monica, 90405, and Team 5, (hereinafter referred to as the “Designer”), located at 2900 31st Street, Santa Monica, 90405, with respect to the licensing of certain non-electronic and/or electronic rights in the Designer’s work(s) (hereinafter referred to as the “Work”). For purposes of this Agreement, electronic rights are deÞned as rights in the digitized form of works that can be encoded, stored, and retrieved from such media as computer disks, CD-ROM, computer databases, and network servers. Non- electronic rights are defined as rights in the physical form of works that can be printed.
