WHEREAS in connection with the Offering by the Corporation of up to 105,823,000 Units, including the Agents' Over-Allotment Option, but excluding any Units issuable in connection with the exercise of the Agents' Broker Warrants, at a price of $0.14 per Unit pursuant to a short form prospectus and an amended and restated short form prospectus dated March 11, 2021, the Corporation proposes to issue and sell up to 105,823,000 Warrants, of which 86,000,000 Warrants will be issuable pursuant to the issuance of the Units in respect of the base offering, up to 12,900,000 Warrants will be issuable upon the due exercise of the Agents' Over-Allotment Option, and up to 6,923,000 Warrants will be issuable upon the due exercise of the Agents' Broker Warrants;
