The Company has applied to register its securities with the Administrator of Securities of the State of ______________ (the “Administrator”) and, if applicable, with the Administrator of Securities of other states. As a condition of registering the offering, the Administrator required the Company to enter into this Agreement. The Impound Agent represents that it is a financial institution and its deposits are federally insured. The Impound Agent is willing to act as the Impound Agent and to hold the funds under this Agreement.
