This type of agreement covers the situation where one party agrees to assemble and manufacture certain products for the account of another party; the former having, for example, idle capacity, and the latter not being able or willing to assemble and manufacture those products (“locatio operis faciendi”). Often additional provisions relating to certain ancillary services that are to be performed by the contractor will also be required. The Belgian Civil Code rules regarding “aanneming/enterprise” are applicable here (articles 1787-1799). This type of agreement may also be used in cross-border relationships between the company and the contractor.
