This document is intended for use in combination with an employment agreement. This template Non-Disclosure and IPR Agreement is a tool for members to utilize when updating the understanding of an existing employee. It clearly spells out the expectations of the employer with respect to the treatment of confidential information and the assignment of inventions. A document such as this would be useful where the original agreement was light on IP terms, perhaps initially the possibility of development of IP was not contemplated.
