THIS AGREEMENT AND PLAN OF MERGER (this “Agreement”), dated as of November 16, 2023, is by and between Plasma Innovative Inc., a Nevada corporation (“Parent”), and ESG Inc., a Nevada corporation and a direct, wholly-owned subsidiary of Parent (“Merger Sub”).
