This letter agreement is being entered into in connection with the investment by UPS Group Trust (the “LP”) in Apollo Investment Fund IX, L.P., a Delaware limited partnership (the “Partnership”), pursuant to the Amended and Restated Agreement of Limited Partnership of the Partnership, dated as of June 1, 2017 (the “Partnership Agreement”). Each capitalized term used and not otherwise defined herein shall have the meaning given to such term in the Partnership Agreement.
