This Agreement (the “Agreement”), is made, dated and entered into as of the day of , 2014, by and between the County of Durham ( “County”), a North Carolina municipal corporation and Austin Lawrence Partners-East, L.L.C. (“ALP East, L.L.C.” or “Company”), a corporation organized and existing under the laws of the State of Colorado and registered to do business in the State of North Carolina. The County and the Company are also referred to individually as “Party” and collectively as “Parties.”
