This PURCHASE AND SALE AGREEMENT (this “Agreement”) is dated as of June 11, 2019 and is between HARDIE & KELLY INC., (“H&K”) in its capacity as court-appointed receiver and receiver and manager (the “Receiver”) of CLAROCITY CORPORATION, an Alberta corporation (“Clarocity”) and iLOOKABOUT CORP., an Ontario corporation (“Buyer”).
