The following Terms of Sale (this “Agreement”) apply to and form a part of all sales of all products (“Products”) manufactured or sold by Sentia Wellness Inc., a Delaware corporation (“Sentia”), and applies to any Person who purchases Products and who intends to or does resell, transfer, or otherwise dispose of Products or otherwise is not a consumer of the Products (“Reseller”). Any sale by Sentia of, or acceptance by Sentia of any offer to purchase, Products is expressly limited to the terms and conditions of this Agreement, as amended from time to time by Sentia (provided that no amendment shall have retroactive effect). Any additional or different terms provided or added by any Person other than Sentia to any order, invoice, form, acknowledgement, or other similar document are expressly rejected by Sentia, and no subsequent performance, delivery, or course of dealing will be considered an amendment or the acceptance of any such inconsistent or additional terms.
