THIS AMENDED AND RESTATED EMPLOYMENT AGREEMENT (“Agreement”), effective as of December 7, 2012 (the “Effective Date”), supercedes and replaces the Employment Agreement dated February 8, 2008 (the “Prior Agreement”) by and between SCYNEXIS, Inc., a Delaware corporation (“Employer” or “Company”) and Michael C.
