THIS ASSET PURCHASE AGREEMENT (this “Agreement”) is entered into as of July 25, 2005 by and among Entravision Holdings, LLC, a California limited liability company, and Entravision Communications Corporation, a Delaware corporation (“Entravision” and collectively, the “Entravision Parties”), on the one hand, and Univision Radio License Corporation, a Delaware corporation, and Univision Communications Inc., a Delaware corporation (“Univision” and collectively, the “Univision Parties”), on the other hand.
