ASSET PURCHASE AGREEMENT This Asset Purchase Agreement (this “Agreement”) is entered into as of November 17, 2006 by and among IntelliSense Corporation, a Washington corporation (“Seller”), Rhonda Taylor and Paul Tollner (“Shareholders”), Intelius Inc., a Delaware corporation (“Parent”) and IntelliSense LLC, a Nevada limited liability corporation (“Buyer”). RECITALS A. Seller owns and operates an on-line and interactive employment screening and tenant screening business (the “IntelliSense Business”). B. Seller desires to sell, transfer and assign to Buyer, and Buyer desires to purchase and assume from Seller, substantially all of Seller’s operating assets and other rights, and certain liabilities, relating to the IntelliSense Business for the consideration and on the terms and conditions set forth herein. AGREEMENT In consideration of the foregoing and the terms and conditions set forth herein, the parties hereby agree as follows:
