This SECOND LIEN PLEDGE AND SECURITY AGREEMENT (this “Security Agreement”) is made and entered into as of July 1, 2020 by Century Aluminum Company, a Delaware corporation (with its successors, the “Company”), the Subsidiaries of the Company so listed on the signature pages hereof (each, together with its successors and the Company, a “Grantor” and, collectively with the Company and any other Person that becomes a Grantor hereunder from time to time pursuant to ‎Section 18, the “Grantors”), in favor of Wilmington Trust, National Association, a national banking association (“Wilmington Trust”), as collateral agent under the Collateral Agency Agreement referred to herein (in such capacity, including any successor thereto, the “Collateral Agent”) for the benefit of the Secured Parties described herein.
