Agreement”) is entered into by and between The School Board of Bay County, Florida, a political subdivision of the State of Florida and a body corporate pursuant to §1001.40, Florida Statutes, whose address is 1311 Balboa Avenue, Panama City, FL 32401, (the “LEA”), the University of Central Florida Board of Trustees (“UCF”), and Learning Circle Software, LLC, an Ohio limited liability company registered to do business in the State of Florida, whose principal address is 2775 Bexley Park Road, Bexley, OH 43209, (“Provider”). The LEA and Provider may be collectively referred to as the “Parties.”
