to conduct a repair/replacement on the premises. OWNER agrees that any bills incurred as a result of the repairs/replacement shall be the sole responsibility of the OWNER and OWNER shall indemnify BROKER for any failure of OWNER to pay the bill of the vendor. OWNER agrees to hold BROKER, its employees, agents and assigns harmless for any negligence of vendor or failure by vendor to perform in any way.
