The undersigned, Hilltop Securities, Inc. (the “Underwriter”) offers to enter into this Purchase Contract (the “Purchase Contract”) with you, the Dublin Financing Authority (the “Authority”) and the City of Dublin (the “City”), and upon acceptance hereof, this offer will become binding upon the Authority, the City, and the Underwriter. This offer is made subject to acceptance by delivery of an executed counterpart hereof at or prior to 11:59 p.m., Pacific time, on this date or on such later date as shall have been consented to by the parties hereto. Capitalized terms used but not defined herein shall have the meanings given to such terms in the Indenture of Trust, dated as of October 1, 2021 (the “Indenture”), between the Authority and U.S. Bank National Association, as trustee (the “Trustee”).
