THIS INVESTORS' RIGHTS AGREEMENT is made as of the 15th day of October, 2004, by and between Gentium S.p.A., a joint stock company (società per azioni) incorporated and organized under the laws of the Republic of Italy (the "Company"), and the investors listed on Schedule A hereto, each of which is herein referred to as an "Investor."

THIS INVESTORS' RIGHTS AGREEMENT is made as of the 10th day of January, 2005, by and among Gentium S.p.A., a joint stock company (società per azioni) incorporated and organized under the laws of the Republic of Italy (the "Company"), on the one hand, and Alexandra Global Master Fund Ltd., a British Virgin Islands company ("Alexandra") and Generation Capital Associates, a New York limited partnership ("Generation", each of Alexandra and Generation, an "Investor"), on the other hand.
