COVENANTS (the “Regulatory Agreement”) is made and entered into as of September 1, 2016, by and among the CITY AND COUNTY OF SAN FRANCISCO, a municipal corporation, duly organized and validly existing under the laws of the State of California (together with any successor to its rights, duties and obligations, the “City”), U.S. BANK NATIONAL ASSOCIATION, as fiscal agent (the “Fiscal Agent”), and Clementina Towers Associates, L.P., a California limited partnership (the “Owner”), owner of a leasehold interest in the land described in Exhibit A attached hereto.
