The undersigned, Haoxin Holdings Limited, a Cayman Islands exempted company (the “Company”), hereby confirms its agreement (this “Agreement”) with the several underwriters (such underwriters, for whom Craft Capital Management LLC and WestPark Capital, Inc. are acting as co-representatives (in such capacity, collectively, the “Representatives,” if there are no underwriters other than the Representatives, references to multiple underwriters shall be disregarded and the term Representatives as used herein shall have the same meaning as underwriters, the “Underwriters” and each an “Underwriter”) to issue and sell to the Underwriters an aggregate of 2,000,000 Class A ordinary shares, $0.0001 par value per share (“Ordinary Shares”), of the Company (the “Firm Shares”).
