This Agreement, including Amendment No. 1 (TRO Amendment) hereto (“Agreement”) shall be deemed effective as of April 7, 2004 (the “Effective Date”), between Tristate Bell of PA d/b/a Connectel (“Connectel”), a corporation organized under the laws of the State of New York, with offices at 1575 50th Street, Brooklyn, NY 11219 and Verizon Pennsylvania Inc. (“Verizon”), a corporation organized under the laws of the Commonwealth of Pennsylvania with offices at 1717 Arch Street, Philadelphia, PA 19103 (Verizon and Connectel may be referred to hereinafter, each, individually as a “Party”, and, collectively, as the “Parties”).
