For value received, the Mountain Valley Emergency Medical Services Agency ("Assignor") assigns, transfers, and conveys to the County of Stanislaus ("Assignee"), all of Assignor's right, title, and interest in, and the responsibility to perform all Assignor's duties and obligations of, that certain contract between Assignor and Emanual Medical Center ("Contractor"), effective January 1, 2021 (the "Contract"). A copy of the Contract is attached as Exhibit A and incorporated by reference. The effective date and time of this assignment is July 1, 2022, at 12:00 a.m.
