This Award is subject to all of the terms and conditions set forth in this Inducement Restricted Stock Unit (the “Inducement Agreement”). This Award is not issued pursuant to the Company’s Amended & Restated 2010 Stock Incentive Plan or any other equity incentive plan of the Company.
