This Agreement (the “Agreement”) is made effective the day of , 2018 (the “Effective Date”), by and among Summit County, a political subdivision of the State of Utah, located at 60 N. Main Street, P.O. Box 128, Coalville, UT 84017 (the “County”) and the Snyderville Basin Special Recreation District, a special service district of the State of Utah, located at 5715 Trailside Drive, Park City, Utah 84098 (the “District”) (together the “County Parties”), on the one part, and the Estate of Florence J. Gillmor (“Estate Seller”), located at 201 South Main Street, Suite 1800, Salt Lake City, Utah 84111 and the Florence J. Gillmor Foundation (“Foundation Seller”), a nonprofit foundation organized under the laws of the State of Utah, located at 201 South Main Street, Suite 1800, Salt Lake City, Utah 84111 (together, the “Sellers”), on the other part (each is a “Party” and collectively they are referred to as the “Parties”).
