Unless ELCAN agrees otherwise in writing, any purchase order or other contractual document (“Order”) submitted by Buyer and any subsequent Order amendment(s) will only be accepted if such acceptance is provided to Buyer in writing and with the understanding that the products intended to be purchased by the Buyer under the Order (“Products”), and/or services being provided to the Buyer by ELCAN under the Order (“Services”), are being supplied pursuant to the following terms and conditions (“Terms and Conditions”); the Order and Terms and Conditions together constitute the agreement (“Agreement”) between the parties. ELCAN rejects all additional or different terms, however proposed by Buyer, even if such terms and conditions are included on the Order from Buyer.
