This AMENDMENT #2 (“Amendment #2”) is entered into as of [ ], 2011 (“Effective Date”), by and between VUDU, Inc. (“Licensee”) and Culver Digital Distribution Inc. (“Licensor”), and amends that certain License Agreement between Licensor and Licensee, dated as of February 1, 2011, as amended by Amendment #1, dated as of February 1, 2011 (“Original Agreement”). For good and valuable consideration, the receipt and sufficiency of which is hereby acknowledged, Licensor and Licensee hereby agree as follows:
