This Retirement Plan Advisory Services Agreement (the "Agreement") is entered into by ACME Inc. ("Client") and CAPFINANCIAL PARTNERS, LLC, d/b/a, CAPTRUST Financial Advisors, a North Carolina limited liability company, ("CAPTRUST"). Client, individually and as the plan sponsor, retains CAPTRUST to provide the Services (as described below) in its capacity as an Investment Adviser firm registered with the Securities and Exchange Commission (the "SEC") under the Investment Advisers Act of 1940, as amended, (the "Advisers Act") for Client's ACME Inc. 401(k) (the "Plan" or “Plans”). The effective date of this Agreement shall be the later of the date on which the investment options selected by CAPTRUST are funded and available for participant direction or the latest date of execution as reflected below (the “Effective Date”).
