(each a “Trimaran Shareholder” and collectively, with the Trimaran Cabinet Representative, the “Trimaran Shareholders”) and Norcraft Companies, Inc., a Delaware corporation (“Norcraft,” and together with the Trimaran Shareholders, the “Parties”).
