This Services Agreement (the "Agreement") made and entered into on the Effective Date (as defined below) by and between Village of Cary, an Illinois municipality ("Cary" or “client”) with a place of business at 755 Georgetown Dr., Cary, IL 60013, and Prescient Development, Inc., an Illinois corporation transacting business under the assumed name in Illinois of Prescient Solutions ("Prescient"), with offices at 1515 Woodfield Rd., Suite 880, Schaumburg, IL 60173. With Cary and Prescient being sometimes hereinafter referred to individually as a “Party” or collectively as the “Parties.”
