(the “Company”) (collectively referred to as the “Parties” or individually referred to as a “Party”). RECITALS WHEREAS, Employee is employed by the Company; WHEREAS, Employee and the Company entered into a Change of Control and Severance Agreement dated March 31, 2011 (the “Severance Agreement”); WHEREAS, the Company has granted Employee options to purchase shares of the Company’s Common Stock (the “Options”) and awards of restricted stock units, each unit representing the right to receive a share of Company Common Stock on the date it becomes vested (the “RSU Awards”, and together with the Options, the “Equity Awards”), in each case under the Company’s 2006 Long Term Incentive Plan (the “2006 Plan”) ; WHEREAS, Employee will separate from employment with the Company effective March 1, 2014 (
