The Management Compensation Plan, as amended (the “Plan”), is hereby incorporated by reference and made a part hereof, and the Restricted Stock Units (the “RSUs”) and this Agreement shall be subject to all terms and conditions of the Plan. Capitalized terms not defined herein shall have the meanings ascribed to them in the Plan.
