This Agreement and Plan of Merger is dated as of May 10, 2016 (the “Agreement”) by and among Connecticut Water Service, Inc., a Connecticut corporation (“CWS”), HAC, Inc., a Connecticut corporation and a wholly-owned subsidiary of CWS (“NewCo”), and The Heritage Village Water Company, a specially-chartered Connecticut corporation (the “Company”).
