The undersigned, KDM Funding I LLC, a Florida limited liability company (the "Company"), proposes to issue and sell to J. W. Korth & Company Limited Partnership, a Michigan limited partnership (the "Initial Purchaser"), certain Mortgage Secured Notes (each such series, the “Notes”) from time to time (each, an “Offering”). Each series of Notes will be issued pursuant to the Trust Indenture and Security Agreement dated July 28, 2022, between the Company and Delaware Trust Company, as trustee (the “Trustee”) (as the same may be amended, supplemented, waived or otherwise modified from time to time in accordance with the terms thereof, the “Indenture”). This Agreement, the Notes and the Indenture are referred to herein as the "Transaction Documents.”

The undersigned, Korth Direct Mortgage Inc., a Florida corporation (the "Company"), proposes to issue and sell to J. W. Korth & Company Limited Partnership, a Michigan limited partnership (the "Initial Purchaser"), certain Mortgage Secured Notes (each such series, the “Notes”) from time to time (each, an “Offering”).
