This Stock Purchase Agreement (this “Agreement”), entered into this 29th day of December 2006, is by, between, and among CANEUM, INC., a Nevada corporation (“Buyer”), CANEUM ASIA PACIFIC PTE LTD, a wholly owned subsidiary of Buyer formed under the laws of Singapore, (“Acquisition Sub”), CONTINUUM SYSTEMS PRIVATE LIMITED, a company formed under the laws of India (“Target”), NEERAJ SEHGAL, a shareholder of the Target (“Seller”). Buyer, Acquisition Sub, Target, and Seller are referred to collectively herein as the “Parties.”
