For many years, private equity and venture capital funds have predominantly been formed as limited partnerships. The US venture capital industry led the way in using the limited partnership as a fund vehicle and it has, for more than a decade, been adopted almost universally for UK-based private equity and venture capital funds. (Alternative fund structures are referred to in the “Structuring venture capital funds” section of the BVCA Notes of Guidance).
