This Agreement, including Amendment No. 1 (TRO Amendment) hereto (“Agreement”) shall be deemed effective as of October 3, 2005 (the “Effective Date”), between McGraw Communications, Inc. (“McGraw”), a corporation organized under the laws of the State of New York, with offices at 228 East 45th Street, New York, NY 10017 and Verizon North Inc. (“Verizon”), a corporation organized under the laws of the State of Wisconsin with offices at 1717 Arch Street, Philadelphia, PA 19103 (Verizon and McGraw may be referred to hereinafter, each, individually as a “Party”, and, collectively, as the “Parties”).
