These Standard Terms and Conditions (this “Agreement”) are incorporated by reference into and made a part of the ThinOptics Inc. Dealer Form (the “Dealer Form”) entered into by and between the Dealer named on the Dealer Form (“Dealer”) and ThinOptics Inc., a Delaware corporation with offices at 155 Island Drive Palo Alto CA 94301 (“ThinOptics”), as of the “Effective Date” identified in the Dealer Form. This Agreement sets forth the terms and conditions pursuant to which ThinOptics will appoint Dealer as a nonMexclusive distributor of certain of the ThinOptics products, in accordance with the terms hereof, and establishes a binding legal contract between Dealer and ThinOptics. Each of Dealer and ThinOptics are a “Party” and collectively are “Parties.”
