FIRST SUPPLEMENTAL INDENTURE, dated as of November 12, 2009 (the “Supplemental Indenture”), among Kansas City Southern de México, S.A. de C.V., a variable capital company (sociedad anónima de capital variable) organized under the laws of Mexico (the “Company”), and U.S. Bank National Association, as Trustee (in such capacity, the “Trustee”), and as Paying Agent (in such capacity, the “Paying Agent”).
