Reference is hereby made to the Subordinated Note Issuing and Paying Agency Agreement, dated as of December 9, 2014, between the Issuer and Citibank, N.A., as Subordinated Note Issuing and Paying Agent (as amended from time to time, the “Subordinated Note Issuing and Paying Agency Agreement”). Capitalized terms not defined in this Certificate shall have the meanings ascribed to them in the Subordinated Note Issuing and Paying Agency Agreement or, if not defined therein, in the final offering circular in respect of the Subordinated Notes referenced below.
