SUBSCRIPTION AGREEMENTSubscription Agreement • May 6th, 2024
The undersigned (the “Subscriber”) hereby irrevocably subscribes for and agrees to purchase the number of Class A Units of the Limited Partnership (the “Units”) set forth below for the aggregate subscription amount set forth below (the “Aggregate Subscription Amount”), representing a subscription price of US$1,000 per Unit, upon and subject to the terms and conditions set forth in “TERMS AND CONDITIONS OF SUBSCRIPTION” attached hereto (together with the first two pages and the attached Appendices, the “Subscription Agreement”) and on the terms and conditions set forth in the limited partnership agreement governing the Limited Partnership dated May 7, 2024 as same may be amended, restated or supplemented from time to time (the “Limited Partnership Agreement”). The offering of Units hereunder (the “Offering”) is subject to a minimum subscription of US$50,000, unless waived by the Limited Partnership.
